Job Description

The Counsel – Benefits & Compensation will work collaboratively to provide advice and support on a wide array of employee benefit and executive compensation matters and projects.

Major Activities / Key Challenges:
  • Supporting and advising ERISA fiduciary committees
  • Providing advice and support related to a wide variety of domestic and global benefits and compensation plans and programs, such as tax-qualified and non-qualified retirement programs for both salaried and collective bargaining employees, statutory retirement programs, deferred compensation plans, and health & welfare benefits.
  • Evaluating and advising on corporate mergers, acquisitions and divestitures risks, and providing support and advice on benefits and compensation issues related to those transactions.
  • Providing support and advice on plan communications and summary plan descriptions.
  • Advising on plan governance matters, including ERISA and fiduciary responsibilities related to company plans.
  • Supporting HR with respect to designing and drafting employee benefit plans (including health and welfare plans), plan amendments and summary plan descriptions, employee communications, and the design and implementation of new plans, programs and legislation.
  • Advising on plan administration, including eligibility, plan operational issues, plan interpretation and beneficiary entitlements.
  • Communicating with the US Pension Benefit Guaranty Corporation (PBGC) as required.
  • Responding to ERISA plan participants' claims for benefits and appeals from adverse claim determinations.
  • Advising on employment tax issues related to executive compensation and benefits plans, including Section 409A of the Internal Revenue Code.
  • Assisting in the preparation of securities law disclosure documents.
  • Reviewing/preparing executive compensation-related agreements, letters and provisions.
  • Working with and supervising outside counsel on benefits related matters.
  • Negotiating agreements with third party service providers in the benefits area.
  • Providing general labor and employment advice and other support as a member of the Human Resources Legal Group.
Essential Knowledge & Skills / Education:
  • ERISA experience
  • Excellent analytic, writing, editing, and oral advocacy skills.
  • Exceptional organizational skills with the ability to handle multiple, high priority projects with a keen attention to detail and within a demanding environment.
  • Superior consulting, analytical and problem-solving abilities, with demonstrated ability to successfully manage ambiguous situations and issues.
  • The ability to work with internal clients of diverse backgrounds, disciplines, needs and level of experience with legal matters.
  • The ability to identify significant legal exposures for the company while maintaining a practical approach to protecting against them.

Basic Qualifications

  • Law degree (JD) from a law school accredited by the American Bar Association (ABA).
  • Member in good standing of the bar of a State or a Territory of the United States, or the District of Columbia.
  • Minimum 7 years of benefits and compensation legal experience.
  • Employees must be legally authorized to work in the United States. Verification of employment eligibility will be required at the time of hire. Visa sponsorship is not available for this position..


Preferred Qualifications

  • Advanced knowledge of ERISA and relevant federal tax and securities laws.
  • Executive Compensation legal experience
